1. Acceptance of Terms

By accessing or using our website, client portal, or any other services provided by Catalyst Global Finance (collectively, the "Services"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our Services.

2. Description of Services

Catalyst Global Finance provides project financing services, including but not limited to:

• Project finance advisory and structuring
• Due diligence and project evaluation
• Capital arrangement and funding facilitation
• Ongoing project monitoring and support
• Access to our online client portal for application management

3. Eligibility

To use our Services, you must be at least 18 years of age and have the legal capacity to enter into binding contracts. By using our Services, you represent and warrant that you meet these eligibility requirements. If you are using our Services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

4. Account Registration

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

5. Application Process

When submitting a financing application through our Services, you acknowledge and agree that:

• All information provided is accurate, complete, and not misleading
• You have the authority to submit the application and provide the required documentation
• Submission of an application does not guarantee approval or funding
• We reserve the right to request additional information or documentation
• We may conduct background checks, credit checks, and other due diligence
• Application fees are non-refundable unless otherwise specified

6. Fees and Payments

Our fee structure includes:

• Application Fee: 0.1% of requested funding amount, due upon application submission
• Due Diligence Fee: 0.5% of requested funding amount, due upon approval for due diligence
• Success Fee: 2.0% of funded amount, due upon successful funding
• Management Fee: 0.25% per annum, charged throughout the loan term

All fees are subject to change. Current fee schedules are available on our website. Payment terms and methods will be specified in your financing agreement.

7. Confidentiality

We treat all information provided by applicants and clients as confidential. We will not disclose your confidential information to third parties except as necessary to provide our Services, as required by law, or with your consent. You agree to maintain the confidentiality of any proprietary information we share with you during the course of our engagement.

8. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Catalyst Global Finance or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

9. Prohibited Uses

You agree not to use our Services:

• For any unlawful purpose or in violation of any applicable laws
• To submit false, misleading, or fraudulent information
• To impersonate any person or entity
• To interfere with or disrupt the Services or servers
• To attempt to gain unauthorized access to any portion of the Services
• To collect or harvest any information from the Services
• To transmit any viruses, malware, or other harmful code
• For any purpose that violates these Terms

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CATALYST GLOBAL FINANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

12. Indemnification

You agree to indemnify, defend, and hold harmless Catalyst Global Finance, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Catalyst Global Finance is incorporated, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

14. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good faith negotiations. If the dispute cannot be resolved through negotiations within 30 days, either party may submit the dispute to binding arbitration in accordance with the rules of a recognized arbitration institution.

15. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

16. Modifications to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms constitute the entire agreement between you and Catalyst Global Finance regarding the use of our Services and supersede all prior and contemporaneous written or oral agreements between you and Catalyst Global Finance.
